Welcome to Fairly Good! These Terms of Service
("Terms") govern your use of our website, plugin, and
related services (collectively, the “Service”). By using the
Service, you agree to these Terms. If you do not agree, please do
not use the Service.
1. Who We Are
“Fairly Good”,
“we”, “our”, or “us” refers to
Fairly Good LLC, a limited liability
company registered in the State of Wyoming, United States. We
provide a software plugin that integrates with Xero to help users
view overdue invoices and manually apply and send late fee
notices.
2. Eligibility
To use the Service, you
must:
Be at least 18 years old;
Have the legal authority
to enter into these Terms;
Use the Service in compliance with
all applicable laws and regulations.
3. Description of
Service
Fairly Good connects with your Xero account to help
you:
View overdue invoices;
Manually calculate and send
late fees based on flat or percentage-based rules;
Use
customizable templates to send polite late fee notices.
4.
Xero Integration
By authorizing Fairly Good to connect to
your Xero account, you grant us limited access to your accounting
data solely to enable the Service.
You retain full ownership
of your data. We do not edit or send messages or invoices unless
you explicitly choose to do so.
5. Fees and Payment
Some
features of the Service may be free or offered with a free trial.
Paid plans and pricing will be made available on our website. You
agree to pay any applicable charges associated with your use of
the Service.
We reserve the right to modify pricing or
features, but we will notify you in advance of any changes.
6.
Privacy
Your use of the Service is also governed by our
Privacy Policy. In
short:
We collect only the data necessary to provide the
Service;
We do not sell or share your data with third parties
for marketing purposes;
We store your data securely and only
for as long as needed to deliver the Service.

Acceptable Use
You agree not to:
Use the Service for
unlawful purposes;
Interfere with the operation of the
Service;
Attempt to reverse engineer or access the source
code;
Misrepresent your identity or the identity of your
business.
8. Disclaimers
The Service is provided
“as is” and “as available” without warranties of any kind, either express or implied.
We
do not guarantee:
That late fees will be enforceable under
your jurisdiction;
That recipients will pay invoices or
accept added fees;
That the Service will be error-free or
uninterrupted.
Use your discretion and consult with legal or
financial professionals as needed.
9. Limitation of
Liability
To the fullest extent permitted by law, Fairly Good
and its officers, directors, employees, or agents shall not be
liable for:
Any indirect, incidental, special, or
consequential damages;
Loss of profits, data, or goodwill;
Any
claim related to your use of Xero or your client’s response to
late fee notices.
Our total liability to you for any claim
under these Terms is limited to the amount you paid us (if any) in
the 12 months preceding the event.
10. Termination
We
may suspend or terminate your access to the Service at any time,
with or without notice, if we believe you’ve violated these Terms
or pose a risk to the integrity of the Service.
You may stop
using the Service at any time. Upon termination, your access will
be revoked and any associated data deleted per our data retention
policy.
11. Changes to These Terms
We may update
these Terms occasionally. If we do, we’ll notify you via email or
through the Service. Continued use after changes means you accept
the updated Terms.
12. Governing Law
These Terms
are governed by the laws of the
State of Delaware, without regard to
conflict of law principles. Any disputes shall be resolved in the
state or federal courts located in Delaware.
